COGEDIM VENTE has designed, produced and operates a website accessible at www.cogedim-logement.com, which enables visitors to consult information relating to real estate developments and investment opportunities created and sold by COGEDIM VENTE, to have their orders processed, access their personal area, and receive customized e-mail alerts and newsletters. .

Users of the site declare themselves aware of the fact that reliability cannot be guaranteed over the Internet, in particular with regard to the relative security of data transmission, the lack of a guarantee that the Website will be continuously accessible, and the fact that performance is not guaranteed in term of the volume or speed of data transmission.

Having familiarized themselves with all the information necessary to enable them to use the Website, those wishing to take advantage of it do so under the following conditions.

Definitions

Each of the expressions mentioned below takes on the following meaning when referred to in these Terms and Conditions of Use:

  • "User" or "Users": Physical person or persons who has/have registered on the COGEDIM VENTE Website by completing the online Form and who accept(s) these Terms and Conditions of Use.
  • "Website": All functionalities and Sections that enable Users to consult information about Products marketed by COGEDIM VENTE.

Purpose

The purpose of these Terms and Conditions of Use is to define the conditions under which the User uses the Website and its various Sections.

Users must accept these Terms and Conditions of Use if they are to visit the Website, its various Sections and use the contact or registration Forms on it.

Users confirm they have familiarized themselves with these Terms and Conditions of Use and also confirm their acceptance of them, without reserve.

Duration and entry into effect

Conditions of registering for the "Personal Area" Section

Visitors can register in the "Personal Area" Section of the Website 24 hours a day, 7 days a week, force majeure or events outside the control of COGEDIM VENTE notwithstanding and under reserve of any breakdowns that may occur or maintenance work which might be needed to ensure proper operating of the Website.

Once a form has been submitted, the User will receive an e-mail to confirm their registration to the “Personal Area” Section and to remind them that they can access www.cogedim-logement.com at any time and/or download these Terms and Conditions of Use.

They are asked to confirm:

  • their ID details: Users can, should they wish, modify their password,
  • certain personal details given during registration when filling out the Form.

Users are solely and wholly responsible for ensuring the confidentiality of their password.

Users agree to take all reasonable measures to ensure that all details remain confidential, in particular to prevent any third party from assuming their identity and/or password with a view to accessing their personal area and obtaining information in their name.

Taking into account the Website’s characteristics, the inherent risks connected with the content placed online by the User and the need to be able to identify Users, COGEDIM VENTE informs the User that the information and details relating to the User will be retained as long as such are placed online and/or used by COGEDIM VENTE.

Users are informed that personal details relating to them must be given to enable them to access and use certain Sections of the Website.

With the express permission of the User, given by ticking the boxes placed on the Website for this purpose, this information may be used by COGEDIM VENTE for commercial purposes.

User obligations

Users can also subscribe to the COGEDIM VENTE newsletter by completing the “Newsletter subscription” form, in order to be regularly kept up to date about offers from COGEDIM VENTE.

Information and advice available on the Website

Through its "Our Advice" Section, COGEDIM VENTE offers the User access to certain information or advice with respect to purchasing and/or investing in real estate..

This information and advice is of a general nature only and COGEDIM VENTE does not guarantee that it corresponds to the needs and/or personal circumstances of the User.

Information offered on the Website does not – directly or indirectly – amount to a consultation.

Under no circumstances are the information and advice offered capable of serving as a substitute for a consultation with a real estate or investment professional.

The User should not make a purchase or an investment on the basis of the information and advice available on the Website. COGEDIM VENTE recommends the User to beforehand contact a real estate or investment professional.

The User recognizes that the information and advice made available to them is not necessarily complete, exhaustive, up to date at all times or specifically adapted to their personal circumstances and that this information and advice does not deal with all the various questions arising in connection with the purchase of or investment in real estate.

Under no circumstances does COGEDIM VENTE guarantee a given result based on the application of the information and advice provided on the Website.

Consequently, the User recognizes that COGEDIM VENTE cannot be held liable on account of the information and advice offered on the Website and accepts that when using this information and advice, they do so under their own sole control, will and responsibility.

Proof, storage and filing

The electronic registers stored in the COGEDIM VENTE IT systems under conditions of reasonable security will be considered as proof of communications and of the sending of Forms, videos and comments and of various transmissions of information between the User and COGEDIM VENTE, enabling the latter to perform the tasks requested of it by the User.

Forms are stored in a reliable and durable system, with the aim of maintaining a faithful lasting copy of them that complies with article 1348 of the French Civil Code.

Should there be a discrepancy between the electronic registers maintained by COGEDIM VENTE and any written or electronic document in the possession of the User, it is expressly agreed between the parties that the electronic registers maintained by COGEDIM VENTE will prevail over the User’s documents and will be the only records admitted as proof.

Modifications to the Website and to the applicable terms and conditions of use

COGEDIM VENTE reserves the right to modify these Terms and Conditions of Use or the rules in relation to the use of the Website at any time.

Each new version of the Terms and Conditions of Use will be posted online on the COGEDIM VENTE Website.

The User is obliged to regularly consult the Terms and Conditions of Use. Registered Users will be informed by e-mail of any change and/or modification to the existing Terms and Conditions of Use.

Continued use of the Website after any modification to the Terms and Conditions of Use signals the acceptance on the part of the User of the modifications to those Terms and Conditions.

COGEDIM VENTE also reserves the right to further develop its Website.

Suspension from the Website

Property of COGEDIM VENTE

COGEDIM VENTE is the owner of:

  • the Website
  • the database and, in particular, its structure, designed and managed by it in order to administer the Website
  • all information, elements of expertise, specification documents and, more generally, all elements of the Website’s design and that of its components
  • intellectual and industrial property rights in respect of all elements making up the design of the Website, be these graphical or technical
  • brand names, patents, symbols, logos, colors, graphics or other signs which may be used, produced or implemented by COGEDIM VENTE for or on the Website.

The User is therefore forbidden from reproducing, in whatever form, directly or indirectly, the elements referred to in the preceding paragraph, or to alter the brand names, trade marks, symbols, logos, colors, graphics or other signs appearing on the elements made available by COGEDIM VENTE and, more generally, from using or exploiting these elements in any way other than when using the Website as described in these Terms and Conditions.

The User is also forbidden from registering any trade mark created and/or produced for use on the Website, on their own behalf or on behalf of any third party, and which contains one or several elements of the COGEDIM VENTE Website.

Responsibility

It is expressly agreed that COGEDIM VENTE has only a “best endeavors” obligation with respect to the implementation of these Terms and Conditions of Use.

The User expressly recognizes that COGEDIM VENTE has, as a result of the information made available to the User by way of these Terms and Conditions of Use, completely satisfied all its obligations to advise and inform them of the features of its Website and of the various Sections available on it.

Under no circumstance will COGEDIM VENTE assume responsibility for indirect damages nor compensate indirect damages such as financial or commercial prejudice, loss of opportunity, increased costs or other general expenses, or loss of data which may result from difficulties relating to the consultation, transmission, reception and/or distribution of information and data contained on the Website.

The User alone is responsible for providing the personal details that allow them to access and use the Website.

Transfer

These Terms and Conditions of Use cannot be transferred, totally or partially, against payment or otherwise, by the User.

COGEDIM VENTE may transfer to any legal entity of its choice, all or part of the rights and obligations defined in these Terms and Conditions of Use, with responsibility for informing the User of the passing to that entity.

Force majeure

The immediate effect of a force majeure event will be to suspend execution of the contract. Should the force majeure event have a duration of over three months, the contract will automatically be cancelled, unless otherwise agreed by both parties.

Force majeure or exceptional circumstances are expressly considered to be those typically upheld by court jurisprudence and French tribunals.

Consequences of termination of the relationship

COGEDIM VENTE can withdraw the User’s access to the Website at any time, under the conditions laid down in these Terms and Conditions of Use.

The User can also, having given COGEDIM VENTE prior warning by e-mail, ask for their personal area to be closed.

Confidentiality

Each party agrees not to divulge to third parties any information imparted to them by the other party, or information which may have come into their possession as a result of the execution of these Terms and Conditions.

General provisions

Neither of the parties may make a commitment in the name of/on behalf of the other.

Furthermore, each of the parties remains solely responsible for their own actions, allegations, commitments and duties.

In the event of a difficulty in interpretation arising in respect of any of the headings above the clauses or any of the clauses to which it refers, the heading will be declared null and void.

Should one or more of the stipulations of this Contract be upheld as not valid or declared as such through the application of a law, ruling or as a result of a definitive decision taken by a competent jurisdiction, the remaining stipulations will retain all their power and scope.

This contract is subject to French law.
